Understanding the Recent Ruling on the CTA

On December 3, 2024, the United States District Court issued a preliminary decision in Texas Top Cop Shop, Inc. v. Garland, temporarily halting the enforcement of the Corporate Transparency Act (CTA), a federal law requiring businesses to disclose detailed ownership information to the government.

Why Businesses Challenged the CTA

The Corporate Transparency Act aimed to combat financial crimes like money laundering and various other financial crimes by increasing transparency around corporate ownership. However, many small businesses argue the law raises privacy concerns. Plaintiffs argued that the CTA infringes on constitutional rights, oversteps federal authority, and imposes costly (and unnecessary) obligation on small businesses.

The Outcome and What It Means for Business Owners

In response to these challenges, the court paused the CTA’s enforcement. While this ruling temporarily relieves businesses from filing the detailed reports originally due by the beginning of 2025, the future of the CTA remains to be seen.
